Moscow. 30 January 2006. The first joint general meeting of shareholders of OAO "WGC-5"*, OAO "Konakovskaya TPP", and OAO "Nevinnomysskaya TPP", and the extraordinary general meeting of OAO "WGC-5" were held on 25 January 2006 in Moscow.

The joint general meeting of OAO "WGC-5" and the AO-power plants approved amendments to the Charter of the Company. Those amendments cover the merger of OAO "Konakovskaya TPP" and OAO "Nevinnomysskaya TPP" with and into OAO "WGC-5". As a result, all key corporate actions were completed to establish OAO "WGC-5" as a single operating company.

The EGM of OAO "WGC-5" elected new members of the Board of Directors. The following persons became Board members: Anatoly Bushin, Director General, OAO "WGC-5"; Eldar Orudzhev, Deputy Managing Director, Executive Director of Business Unit 1, RAO "UES of Russia"; Mariya Pichugina, Deputy Managing Director, Executive Director of Business Unit 1, RAO "UES of Russia"; Igor Kozhukhovsky, Head of Economic Policy Department of the Corporate Center, RAO "UES of Russia"; Dmitry Akhanov, Head of Strategy Department, Head of the Center for Reform Projects Implementation Center, RAO "UES of Russia"; Mikhail Andronov, Director for Economy and Finance, OOO "ESN ENERGO"; David Herne, Managing Director, Halcyon Advisors; Alexander Branis, Non-Government Pension Funds Asset Management Officer, OOO "Prosperity Capital Management"; Evgeny Bykhanov, Deputy Director General, Professional Directors Institute Foundation; Valery Nepsha, Deputy Director General, Professional Directors Institute Foundation; and Vladimir Flegontov, Advisor, Professional Directors Institute Foundation.

Also, the EGM of OAO "WGC-5" elected new members of the Auditing Commission.

* OAO "WGC-5" was registered on 27 October 2004 in the city of Yekaterinburg. The decision to establish OAO "WGC-5" was taken by the Board of Directors of RAO "UES of Russia" at its meeting held 3 September 2004.

On 14 September, shares of OAO "WGC-5" were included in the List of non-listed securities of ZAO "MICEX Stock Exchange". By now, WGC-5 shares have been included in the lists of securities admitted to trading on NP "RTS Stock Exchange" and OAO "RTS Stock Exchange".

On 19 September 2005, as a measure to increase capitalization of OAO "WGC-5" and expand the pool of the Company's potential investors, Deutsche Bank launched an unsponsored GDR program for OAO "WGC-5" on the major European securities markets, The London Stock Exchange (LSE) and Deutsche Boerse in Frankfurt.

Pursuant to Order of the Government of the Russian Federation No. 1254-r of 1 September 2003, the following companies were included in OAO "WGC-5": OAO "Konakovskaya TPP", OAO "Nevinnomysskaya TPP", the property of the Reftinskaya TPP and the Sredneuralskaya TPP.
