Moscow, 1 December 2006. On 30 November 2006, the Federal Service for the Financial Markets (FSFM) of Russia registered reports on placement of additional ordinary shares in OAO "Territorial Generation Company No. 1" (OAO "TGC-1"). The shares were exchanged for shares in OAO "Apatitskaya CHPP", OAO "Karelenergogeneratsiya", OAO "Petersburg Generation Company", and OAO "Kolskaya Generation Company". According to the Company's resolutions authorizing the share issuance, the following amounts of shares were issued:

• 1,489,450,795,483 ordinary shares, par value RUB0.01 per share, for a total value of RUB14,894,507,954.83. The state registration number assigned to the share issue is 1-01-03388-D-001D;
• 233,291,775,345 ordinary shares, par value RUB0.01 per share, for a total value of RUB2,332,917,753.45. The state registration number assigned to the share issue is 1-01-03388-D-002D;
• 596,437,074,744 ordinary shares, par value RUB0.01 per share, for a total value of RUB5,964,370,747.44. The state registration number assigned to the share issue is 1-01-03388-D-003D;
• 179,942,967,397 ordinary shares, par value RUB0.01 per share, for a total value of RUB1,799,429,673.97. The state registration number assigned to the share issue is 1-01-03388-D-004D;
• 50,855,172,293 ordinary shares, par value RUB0.01 per share, for a total value of RUB508,551,722.93. The state registration number assigned to the share issue is 1-01-03388-D-005D;
• 15,395,836,253 ordinary shares, par value RUB0.01 per share, for a total value of RUB153,958,362.53. The state registration number assigned to the share issue is 1-01-03388-D-006D;
• 335,848,873,542 shares, par value RUB0.01 per share, for a total value of RUB3,358,488,735.42. The state registration number assigned to the share issue is 1-01-03388-D-007D.
