The joint general meeting of shareholders of OJSC North-West Telecom, OJSC Lensvyaz and OJSC Svyaz of Republic of Komi was held by absent vote. The closing date for the acceptance of ballots was September 3, 2004, the minutes were executed on September 9, 2004.

According to the vote results, it was decided to make changes and additions No. 5 to the Charter of OJSC North-West Telecom .

In accordance with the decision, on completion of reorganization OJSC North-West Telecom will succeed to all rights and duties of OJSC Lensvyaz and OJSC Svyaz of Republic of Komi with respect to all obligations to all their creditors and debtors.

• “AYE” – 99.88726 % of votes cast;
• “AGAINST” – 0.000988 % of votes cast;
• “ABSTAINED” – 0.007903 % of votes cast.
