Moscow, 2 May 2006. OAO "TGC-9" completed the establishment of its target corporate structure. OAO "TGC-9" received on 1 May 2006 from the Inspectorate of the Federal Tax Services located at its registration venue a certificate confirming that OAO "Sverdlovsk Generation Company" and OAO "Perm Generation Company" had been removed from the Uniform State Register of Legal Persons.

The target corporate structure of TGC-9 provides that the Company is to be reorganized through merger of OAO "Sverdlovsk Generation Company" and OAO "Perm Generation Company" with and into TGC-9, to be followed by OAO "Komi Regional Generation Company", which will be spun off from OAO "Komienergo" on 1 July 2006.

Until now, TGC-9 has operated under lease arrangements. In December 2005 and February 2006, the regional generation companies' (RGCs) shareholder meetings (with the support of minority shareholders) and the joint shareholder meeting of OAO "TGC-9" approved the merger of the RGCs concerned with and into OAO "TGC-9".

On 1 May, shares in the merged RGCs were converted into TGC-9 shares, and all shareholders in the RGCs concerned became shareholders in OAO "TGC-9". For that purpose, TGC-9 issued additional ordinary shares.

Floatation of TGC-9 shares on the stock market is scheduled for Q3 2006.
