Decisions of JSC RusHydro Board of Directors

On 20 April 2010, the Board of Directors of JSC RusHydro (ticker symbol: HYDR; MICEX, RTS and LSE) voted by proxy.

The Board of Directors terminated the powers of members of the Company's Management Board Vasily Zubakin, Andrey Konovalov, David Kuznetsov and Yuri Sharov, and elected as members of the Management Board: Sergey Abrashin, Konstantin Bessmertny, Boris Bogush, Alexey Maslov and Stanislav Savin.

Sergey Abrashin: born in 1959 in Oryol. Higher education with degrees in radio-communication engineering and in jurisprudence. From 1977 to 2006, served in the armed forces. In 2006 and 2007, he was head of the security department at Yukos Oil Company. In 2007 to 2009 — vice-president of JSC AK Transnefteprodukt.

At JSC RusHydro, Sergey Abrashin will be in charge of economic security and regime as well as internal security issues.

Konstantin Bessmertny: Born in 1973 in Moscow. First degree from the Bauman Technological Institute, specialising in automated information processing and management systems; second degree from National Economy Academy under the Government of the Russian Federation, specialising in corporate finance management. From 2000, was financial director and then counsellor to the Chairman of the Board of JSC INTER RAO UES. In 2009 and 2010, he has been Director of the Moscow branch of JSC Nizhnevartovskaya GRES.

At JSC RusHydro, Konstantin  Bessmertny will be in charge of raising financing, accounting and reporting, and insurance.

Boris Bogush: born in 1952 in Ugleuralsk, Perm Region. Higher education — Togliatti Polytechnical Institute, specialising in cars and tractors, graduating as a mechanical engineer. He has worked in the hydro-power industry since 1976. He has held executive positions at the Saratovskaya HPP, the Cascade of Taimyrskiye HPPs, KureyGESstroy construction management company, the Kureiskaya HPP, and at JSC MC VoHEC. In 2005, he headed the production technology policy department of the Hydro-generation Business Unit of JSC RAO UES of Russia, and was then appointed general director for production at JSC MC VoHEC. From 2005 to 2007, he was deputy head of the Production Business Unit at JSC MC GidroOGK (formerly JSC MC VoGEK). From 2007 to 2009 he was a member of the Management Board, the managing director and head of the Production Business Unit of JSC RusHydro. Since November 2009, he has been managing director and head of the Production Business Unit. Mr. Bogush has state and industry awards.

At JSC RusHydro, Boris Bogush is in charge of regime management, planning and organisation, of repairs, technical refitting and renovation.

Alexey Maslov: born in 1975 in Kamyzyak, Astrakhan Region. Graduated with honours from the Bauman Technological Institute, specialising in rocket and missile engineering; obtained a second degree with honours from the Financial Academy under the Government of the Russian Federation, specialising in finances and credit. From 1999 to 2008, he held various management positions at JSC RAO UES of Russia and JSC FGC UES. From 2008 to 2010 — general director of JSC Centre for Engineering and Construction Management of the Unified Power Grid. Since 2008, he has also been a part-time member of the Management Board of JSC FGC UES. Mr. Maslov has state and industry awards.

At JSC RusHydro, Alexey Maslov will be in charge of capital construction and IT management.

Stanislav Savin: born in 1972 in Zaprudnya, Moscow Region. Higher education — Moscow State Railways University (MIIT), qualifying as a mechanical engineer. From 2003, he worked for INTER RAO UES as: head of the „Central Asia” geographical division, deputy head of geographical division — head of the department for trade on the markets of Central Asia and the Far East, head of the directorate for work on the markets of Central Asia and the Far East, deputy head of the „Russia” Geographical Division, regional director for Kazakhstan and the countries of Central Asia of JSC INTER RAO UES.

Stanislav Savin will be in charge of the work of JSC RusHydro on the electric power wholesale and retail markets.
