Moscow, 3 April 2006. OAO "WGC-3" has received from the Inspectorate of the Federal Tax Service for the Republic of Buryatia certificates of entry of records in the Unified State Register of Legal Persons regarding the removal of OAO "Kostromskaya TPP", OAO "Cherepetskaya TPP", OAO "Pechorskaya TPP", OAO "Yuzhnouralskaya TPP", OAO "Kharanorskaya TPP", and OAO "Gusinoozerskaya TPP" from the Register. Thus, OAO "WGC-3" completed its reorganization through merger of the above thermal power plants with and into WGC-5.
In January 2006, the joint shareholder meeting of OAO "WGC-3", OAO "Kostromskaya TPP", OAO "Cherepetskaya TPP", OAO "Pechorskaya TPP", OAO "Yuzhnouralskaya TPP", OAO "Kharanorskaya TPP", and OAO "Gusinoozerskaya TPP" approved the resolutions required to merge those companies with and into OAO "WGC-5". The resolutions were backed by the companies' minority shareholders. As a result of the mergers, the minority shareholders own a 40% stake in WGC-3, while RAO "UES of Russia" controls 60%.
WGC-3, which now has six production branches (Kostromskaya TPP, Cherepetskaya TPP, Pechorskaya TPP, Yuzhnouralskaya TPP, Kharanorskaya TPP, and Gusinoozerskaya TPP), submits price offers to NP "Administrator of Trading System" (NP "ATS") to participate in trading in the free market segment as an independent market participant.

* OAO "Third Generation Company of the Wholesale Electricity Market" (OAO "WGC-3") was registered with the state authorities in the Republic of Buryatia on 23 November 2004. The resolution on the establishment by RAO "UES of Russia" of OAO "WGC-3" as a wholly-owned subsidiary was approved by the RAO UES Board of Directors on 1 October 2004. Maxim Kuznetsov is Director General of OAO "WGC-3".
