Resolution of the Board of Directors of RAO "UES of Russia"

Moscow, 9 March 2004. On 4 March 2004, the Board of Directors approved the following resolutions by absentee voting:

- that the following items be included on the agenda of the Company's Annual General Meeting:

Approval of the Annual Report, the annual financial statements, including the profit and loss account (income statement), and profit and loss allocation of the Company, including the payment (declaration) of the dividend;
Amount, period, and form of payment of the annual dividend on the Company's shares;
Election of members of the Board of Directors;
Election of members of the Audit Commission of the Company;
Approval of the appointment of the Company Auditor.

- that the following persons be included on the list of candidates for the Board of Directors of RAO "UES of Russia":
