Perm, September 25th, 2007. Stockholders of JSC “TGC-9” will make decisions on the issues of company reorganization within the limits of the last stage of reorganization of JSC RAO “UES of Russia”.

An extra Stockholders meeting of JSC “TGC-9” will be held in the form of correspondence voting. The date of holding of an extra Stockholders meeting (the date of the end of acceptance of the completed voting papers) is October 25th, 2007.

An agenda of the Stockholders meeting includes the following issues:

1. Reorganization of JSC “TGC-9” in the form of affiliation with JSC “TGC-9 Holding”.
2. Determination of number, principal value, categories (types) of declared stocks of JSC “TGC-9” and the rights, provided by these stocks.
3. Increase of the authorized capital stock of JSC “TGC-9”.
4. Alterations and additions to the Charter of JSC “TGC-9”.
5. Approval of the Contract of providing power to the wholesale market between JSC “TGC-9”, “TSFR” and NP “ATC” that is a big bargain for JSC “TGC-9”, in which there is an interest.

Reorganization scheme of JSC RAO “UES of Russia” assumes allocation of 13 minor TGC holdings (including JSC “TGC-9 Holding”), each of which owns “minor” share of stocks of the only one TGC. 100% of stocks of TGC minor holdings are distributed exclusively among minor stockholders of JSC RAO “UES of Russia” with the exception of some stockholders. The allotment of the specified minor holdings is executed together with their simultaneous affiliation to the appropriate generating company.
