JSC RusHydro (ticker symbol: MICEX-RTS, LSE: HYDR; OTCQX: RSHYY) announces the results of the Board of Directors meeting held in absentia on June 22, 2012.

The Board of Directors instructed its representatives in subsidiary JSC Karachaevo-Cherkesskaya GGK to approve a number of related transactions in property rights. The transactions aim to optimize the CAPEX spend of Zelenchukskaya pump storage.

The Board of Directors approved the list of measures within the framework of program of comprehensive development of infrastructure of Cheremushki settlement in 2010-2014 (that suffered from the consequences of the Sayano-Shushenskaya accident). RusHydro plans to allocate RUR 1,057.7 mn in 2012-2014 for this program.

The Board approved the reports by Chairmen of all the Board committees in 2011-2012 corporate year.

The Board approved the report on execution of KPIs of RusHydro in the 1st quarter of 2012.

The Board approved amendments to the company's dividend policy. The amendments aim to improve the corporate standards and procedure for paying dividends. The new edition of the regulations doesn't provide for major changes in the principles of profit distribution.
